%X "Die Annahme der positiven Wirkung einer „guten“ Corporate Governance
auf den Unternehmenserfolg ist ein Grund für die große Aufmerksamkeit für dieses
Themengebiet. In diesem Beitrag wird der Stand der Forschung zur Erfolgswirkung der Corporate
Governance aufgearbeitet. Als Ergebnis lässt sich weder ein eindeutig positiver noch ein
eindeutig negativer Effekt feststellen. Als Gründe für die Uneinheitlichkeit der Befunde werden
methodische Probleme, eine unangemessene theoretische Basis, die Vernachlässigung
institutioneller Komplementaritäten sowie persönlicher Merkmale und Entscheidungsprozesse
diskutiert. Eine weitere Ursache wird in der Überschätzung der Bedeutung struktureller Merkmale
der Corporate Governance vermutet. In ausdifferenzierten und entwickelten Systemen
sind die Unterschiede zu gering, um sich deutlich auf den Unternehmenserfolg auszuwirken." (Autorenreferat)
%X "The rationale for the lively interest in corporate governance is the belief that there
is a relationship between corporate governance and firm performance. A “good” governancesystem
is supposed to have a positive impact on performance. This article provides a state-ofthe-
art review of empirical work on the link between corporate governance and firm performance.
It finds that there are neither clearly positive nor negative effects that can be identified.
In the discussion, various reasons for the inconsistent findings are evaluated. Besides methodological
problems and inadequate theoretical foundations, the neglect of institutional complementarities,
demographic factors and group decision processes are considered. In conclusion,
the relevance of structural elements of corporate governance appears to be overrated.
The differences within and between highly developed governance-systems are too small to
exert a significant impact on firm performance." (author's abstract)
